The problem
On a recent engagement, Adam acted as buyer’s counsel for a mid-sized food-and-beverage co-packing acquisition with cross-border elements and foreign sellers. The seller’s data room held 1,500 documents, and reviewing them manually within the deal timeline simply wasn’t realistic. The usual approach was to sample and hope nothing critical slipped through.
It got harder. The seller casually mentioned that “some guy” held “an interest” in the business, but offered no documentation, no structure, not even a name. All of the concern, none of the information to act on it.
Reviewing every document, and what it means for the deal
Adam ran the entire data room through Jurimesh, which reviewed all 1,500 documents. The platform surfaced the mystery stakeholder inside a Co-Packing and Capacity Reservation Agreement, exactly the kind of title easy to skim past at 1 a.m. The agreement granted a former financing partner a 12% equity stake plus an 8% perpetual royalty on gross revenue, meaning $8 of every $100 in revenue went to an unknown third party before profit was even calculated. It fundamentally changed the economics of the deal.

The discovery reshaped the transaction’s price, structure, and negotiation. Jurimesh also flagged an expired wastewater discharge permit, an undisclosed shared cold-storage easement, and three documents pointing to unresolved ammonia-refrigeration compliance issues.
Leveling the playing field
The result flipped the usual dynamic. Instead of a smaller firm at the traditional disadvantage against larger teams with more review capacity, Adam walked into negotiations already holding the full picture, sharing findings with opposing counsel before they had fully identified them themselves.
